Job Description

As we further our mission to democratize data-driven medicine worldwide, we are looking for a seasoned Corporate Secretarial Specialist to join our Corporate Secretarial team in Rolle, Switzerland. Your role will be to support the Corporate Secretarial team with administrative and corporate paralegal matters in a variety of areas including board of directors matters, corporate governance, annual compliance for and maintenance of international subsidiaries and public company compliance and reporting. As a Corporate Secretarial Specialist, you will be essential in working cross-functionally across the company to help make sure that the legal team and the business are executing together effectively and efficiently.

Responsibilities:

  • Assist with corporate governance activities, including maintenance of books and records for the Corporate Secretarial team
  • Assist with the preparation of appropriate draft documents, including agendas, corporate resolutions and meeting minutes for board of director and committee meetings
  • Manage rolling annual calendar for board meetings, investor relations and SEC filings
  • Assisting with the distribution of board materials through a third-party board portal and coordinate meeting logistics
  • Coordination and follow-up of post-meetings action items
  • Assist with corporate transactions, as necessary, including coordinating document review, updating data rooms, etc.
  • Support the maintenance of global subsidiary governance and compliance
  • Assist with corporate housekeeping and the decision-making process within the corporate structure
  • Assist in the grants and exercise process of awards under the Company’s equity incentive plans
  • Assist with on-going public company matters, including planning and logistics for annual shareholder meetings, director and officer questionnaires, related party transactions, corporate compliance calendars
  • Assist in the preparation and filing of SEC documents, including annual and quarterly reports, proxy statements, Form 6-Ks, 20-F and other SEC filings
  • Assist with cap table management and transfer agent matters, including with respect to reconciliation of shares outstanding and shareholder requests

Requirements

  • University degree in law, Swiss and/or US law preferred
  • 5+ years of relevant experience as a corporate paralegal
  • Experience supporting the Board of Directors, C-suite executives, the Corporate Secretary and assisting with SEC filings for listed companies
  • Strong organizational and drafting skills and close attention to detail
  • High sense of discretion and urgency in fast paced, deadline driven environment
  • Excellent written and verbal communication skills in English (French an asset)
  • Solution-focused, takes initiative to ensure self and team work effectively within established guidelines and timeframes
  • Strong interpersonal skills with ability to build strong and positive working relationships with internal and external stakeholders
  • Experience and solid knowledge of MS Office, Board portal software, cap table management software, legal entity management software
